1. Introduction


These terms govern all Brand Identity Design services provided by Q Branch Consulting Limited (“QBC”, “we”, “our”, “us”) to the client (“Client”, “you”). They form part of the overall agreement between the parties and are binding upon acceptance of a Proposal, making of any payment, or receipt of any design work or assets.


2. Scope of Services


2.1. The scope of Brand Identity Design Services will be outlined in a separate Proposal or Agreement.

2.2. Deliverables may include logo design, typography, colour palette, brand marks, usage guidelines, and other visual assets.


3. Payment Terms & Licensing


3.1. Ownership of Intellectual Property (IP):

  • QBC retains full copyright and ownership of all designs, files, assets, and materials (the “Design Work”) until full payment of all fees under the agreement is received.

  • Final deliverables will only be transferred upon receipt of the final payment in full.


3.2. Payment Plans & Conditional Licensing:

  • Where payment is made via a QBC-approved Payment Plan, QBC grants a limited, non-exclusive, revocable licence to the Client to use the Design Work only during periods of timely and full payment.

  • If a payment is missed or delayed, QBC may revoke this licence immediately and the Client must cease all use of the Design Work until the account is brought up to date.

4. Intellectual Property Details


4.1. Upon receipt of full payment, QBC will transfer copyright and ownership of the final approved brand identity design assets to the Client.

4.2. Until that point, all works, including drafts, sketches, concepts, and digital files, remain the intellectual property of QBC.

4.3. The Client may not alter, distribute, or commercially exploit any of the work without QBC’s written consent prior to full ownership transfer.

4.4. QBC reserves the right to showcase completed work in its portfolio, case studies, or promotional materials, unless expressly prohibited by written agreement.


5. Use of Background IP


5.1. QBC may use pre-existing or third-party elements (“Background IP”) in creating the Design Work.

5.2. Any such Background IP will remain the property of its respective owner and is licensed to the Client solely for use as part of the agreed deliverables.


6. Termination & Refunds


6.1. If the Client terminates the project before final payment (either in writing or by breach of agreement) all rights to the Design Work remain with QBC and any unpaid balances become immediately due.

6.2. No refund shall be given for early concept work, time invested, or strategy delivered unless explicitly stated.

6.3. If on a payment plan and in breach, QBC may issue an immediate cease-and-desist regarding use of the Design Work.


7. Legal & Jurisdiction


7.1. These Terms & Conditions are governed by the laws of England and Wales.

7.2. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.


Acceptance of these Terms

By proceeding with a brand identity design project with Q Branch Consulting Limited, you acknowledge that you have read, understood, and agreed to these Terms & Conditions in full. This agreement becomes binding upon:

  • written acceptance of a proposal,

  • payment of any fee (partial or full), or

  • receiving any part of the brand identity deliverables.
