1. Introduction
These Terms & Conditions (“Agreement”) govern the provision of Digital Service Plans (“DSPs”) by Q Branch Consulting Limited (“QBC”, “we”, “us”, “our”) to the client (“Client”, “you”). DSPs are recurring, subscription-based digital infrastructure services for business websites and online tools, subject to a minimum 60-month commitment.
2. Scope of Services
For £127 + VAT per month, the Digital Service Plan includes the following:
2.1. Domain Rental
· Registration and use of up to 2 domain names.
· All domains remain the sole property of QBC unless purchased separately via a domain ownership agreement.
· Clients are granted a licence to use the domains for the duration of their subscription and only while in good payment standing.
2.2. Email Hosting
· Google Workspace professional email system.
· Includes 2 user account as standard.
· Additional users charged at £12.99 + VAT per month per user.
· Subject to Google’s Acceptable Use Policies.
2.3. Website Hosting & Infrastructure
· Fully responsive, mobile-optimised web hosting(via WIX).
· Provision and rental of a secure SSL certificate.
· Real-time website security and monitoring.
· Technical updates and platform maintenance.
2.4. Integrated Business Tools
· Online booking system.
· Event ticketing and payment gateway integration.
· Full access to a custom online business dashboard.
· Built-in Customer Relationship Management (CRM)tool.
· Email marketing platform with capacity to send up to 5,000 emails/month.
3. Fees & Payment
3.1. The DSP is charged at £127 + VAT/month, payable monthly in advance via Direct Debit or approved payment method.
3.2. Minimum contract term: 60 months from commencement date.
3.3. All payments are non-refundable once billed.
3.4. All additional services (e.g., extra email users) will be billed on a monthly basis in arrears.
3.5. Failure to pay on time will trigger the enforcement terms in Section 5.
4. Intellectual Property & Usage Rights
4.1. QBC retains ownership of all domains, website infrastructure, hosted content (excluding client-supplied assets), email accounts, and integrated tools unless explicitly transferred.
4.2. Client receives a licence to access and use all DSP features only while payments are current.
4.3. On breach, this licence is revoked automatically and without further notice.
5. Breach, Suspension & Remedies
5.1. If a payment is not received within 7 calendar days of the due date:
· The entire remaining contract balancebecomes immediately due and payable.
· QBC reserves the right to remove the website from its paid WIX hosting and redirect it to a free Wix domain.
· All integrated services listed in Section 2.4 will be disabled, including email accounts, booking system, CRM, dashboard, and marketing tools.
· The website will remain publicly visiblebut inactive, displaying only static content without any functioning tools or services.
5.2. Services will be reinstated only upon full payment of overdue amounts. QBC reserves the right to charge reconnection or reactivation fees.
6. Termination
6.1. This is a fixed-term contract of 60 months.
6.2. Early termination by the Client will result in the full outstanding amount for the remainder of the contract term becoming immediately due.
6.3. Termination by QBC for breach or misuse does not waive the Client’s financial obligations.
7. Service Availability & Limitations
7.1. Services are hosted via third-party platforms (WIX, Google Workspace).
7.2. QBC is not responsible for downtime, feature limitations, or loss of service resulting from those providers’ policies, outages, or changes.
7.3. Email and CRM services are subject to platform limitations (e.g., 5,000 emails/month). Clients requiring additional capacity must arrange upgrades.
8. Data & Confidentiality
8.1. QBC will maintain the confidentiality of client data and content in accordance with UK GDPR and applicable data protection laws.
8.2. Backups and content recovery services are not included unless agreed in writing.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the English courts.
Acceptance of Terms
By enrolling in a Digital Service Plan and making any payment or accessing services, the Client agrees to these Terms & Conditions in full.
